 1) Who We Are and What We Do

At Bank of Century (“Bank of Century,” “we,” or “us”), we provide financial and expense-management tools and related services to self-employed individuals and small businesses (the “Services”). This Privacy Policy explains what Personal Information we collect, how we use and share it, and your choices.

* “Personal Information” means information that relates to you and can identify you, alone or in combination.
* “Process” / “Processing” means any operation performed on Personal Information (e.g., collection, storage, use, disclosure, deletion).

 2) Scope

This Privacy Policy applies to Personal Information Processed by us and our subsidiaries in connection with the Services, our website, and our mobile application.

De-identified or aggregated data that cannot reasonably identify you is not Personal Information, and we may use it for any lawful purpose.

 3) Personal Information We Collect

 A. Information You Provide

* Account Information. Name, email, mailing address, phone, date of birth, Tax ID/SSN (as applicable), company name, and other data required by us or our Sponsor Bank to open and maintain an account.
* Information Necessary for the Services. Financial documents and data you upload or connect (e.g., expense records, statements, payroll/ income details, tax forms, invoices, logos).
* Transactional Information. We and our service providers Process payment and transaction data to carry out actions you request.
* Import Services. If you connect external sources (e.g., banks, payroll, accounting software), you authorize importing their data. You are responsible for verifying accuracy.
* Communications. Email, phone, mailing address, and content when you contact support or request information.
* Surveys. Information you provide if you participate in surveys or research.

 B. Automatic Data Collection

When you use the Services, we may automatically collect: IP address, device identifiers, browser/device details, operating system, mobile carrier, pages visited, links clicked, timestamps, general location (per device settings), referral URLs, and usage analytics. We may associate this with your account and devices.

 C. Information from Other Sources

We may obtain information from third parties to supplement what you provide—for example app stores, login services, identity verification partners, analytics providers, marketing partners, and publicly available sources—consistent with your settings with those services.

 4) How We Use Personal Information

* Detect, investigate, and prevent fraud, abuse, or security incidents
* Enforce our terms and comply with legal obligations

 C. Protecting Us or Others

We may use or disclose information to comply with law, legal process, or governmental requests; to protect rights, privacy, safety, or property; to prevent financial loss; or to investigate suspected illegal activity.

 D. Additional Content & Services

Auditing and compliance activities; other purposes disclosed at collection or with your consent.

 E. Marketing

Where permitted by law, we may send you marketing about our Services and, where relevant, partner offerings. You can opt out of marketing at any time (see Section 9).

 F. De-identified / Aggregated Data

We may de-identify or aggregate data for analytics, research, and other lawful uses.

 G. Location (If Enabled)

With your device settings’ permission, we may collect approximate device location to provide location-based features (e.g., nearby deposit locations). You can disable location sharing in device settings; some features may not function if disabled.

 5) Cookies, Pixels, and Similar Technologies

We and our service providers use cookies, pixel tags, local storage, and SDKs (“Technologies”) to operate and improve the Services, remember preferences, measure performance, and deliver relevant content/ads.

* Operationally Necessary (security, login, core features)
* Performance (analytics, diagnostics)
* Functionality (remember preferences)
* Advertising/Targeting (where applicable and permitted)

You can manage cookie settings in your browser/device. If you block cookies, some features may not work.

We may use analytics tools (e.g., Google Analytics/Firebase). Learn more and opt-out tools are available from those providers.

 6) How We Share Personal Information

* Service Providers. We share information with vendors who help us operate the Services (e.g., cloud hosting, customer support, analytics, identity verification, payments, banking connectivity).
* Sponsor Bank & Financial Partners. To provide banking features and comply with regulatory requirements.
* Payments. When you make a payment, our processor receives necessary payment details; we may receive confirmation data.
* Business Partners. If you choose partner features or apply for partner products, we share relevant data to fulfill your request and, subject to preferences, to assess eligibility for offers.
* Advertising/Interest-Based Ads. Where enabled and permitted by law, third-party partners may set Technologies to deliver more relevant ads across sites/apps based on your activity. See Section 9 for choices.
* Legal, Safety, and Compliance. As required or appropriate to comply with law or protect rights/safety.
* Corporate Transactions. In connection with mergers, acquisitions, financings, asset sales, or similar events, subject to applicable law and agreements.

We do not sell Personal Information as that term may be defined under certain privacy laws. If our practices change, we will update this Policy and provide required notices/choices.

 7) International Data Transfers

We may Process and store information in the United States and other countries. By using the Services, you understand your data may be transferred to jurisdictions that may have different data protection laws than your home jurisdiction.

 8) Data Retention

We retain Personal Information as needed to deliver the Services, comply with legal/regulatory obligations, resolve disputes, protect our rights, and pursue legitimate business purposes.

 9) Your Choices

* Email Marketing. Use the unsubscribe link in marketing emails or contact us to opt out. Transactional/administrative emails will still be sent.
* Texts/Push. Follow instructions in messages or adjust device/app settings to opt out.
* Cookies/Ads. Manage cookies in your browser/device. Industry opt-outs: NAI/DAA/EDAA/DAAC (availability varies by region/device). Opt-outs are browser/device-specific.
* “Do Not Track.” We currently do not respond to DNT signals.
* Access/Correction/Deletion. Where required by law, you may request access to, correction of, or deletion of your Personal Information. We will verify your identity and respond as required by applicable law.

 10) Security

We take reasonable and appropriate measures to protect Personal Information, including encryption in transit and access controls limited to authorized personnel. No method of transmission or storage is 100% secure. By using the Services, you agree we may contact you electronically about security, privacy, or administrative matters (e.g., notices of a security incident).

 11) Third-Party Services and Links

This Policy does not apply to third-party websites, apps, or services linked from or integrated with our Services. Their practices are governed by their own policies. Your use of third-party offerings is at your discretion and subject to their terms.

 12) Children’s Privacy

The Services are not directed to children under 13 (or other age as required by local law). We do not knowingly collect Personal Information from children. If you believe a child has provided Personal Information, contact us and we will take appropriate steps to delete it.

 13) Changes to This Policy

We may update this Privacy Policy from time to time. The “Last Updated” date above indicates when changes were made. Material changes will be communicated as required by law. Your continued use of the Services after changes become effective means you accept the updated Policy.

 14) Terms of Service

Capitalized terms not defined here have the meanings given in our Terms of Service. Your use of the Services is also subject to those Terms.

Welcome to the Bank of Century (“Bank of Century,” “we,” “us,” or “our”) website located at [https://www.bankofCentury.com](https://www.bankofCentury.com) (the “Site”). These Terms of Service and any additional terms referenced or incorporated herein (collectively, the “Terms”) form a legally binding agreement between you, as a current or prospective user of our services (“you,” “your”), and Bank of Century. Please read these Terms and our Privacy Policy carefully because they govern your use of the Site, our mobile application (the “App”), and our related services (collectively, the “Services”).

Bank of Century is a financial technology company, not a bank. We provide access to products and services offered by third parties, including one or more FDIC-member sponsor banks (each, a “Sponsor Bank”) that provide Bank-of-Century-branded banking products and services. By opening a deposit account with a Sponsor Bank through our Services (your “Account”), you also agree to the applicable Business Account and Card Terms and the Sponsor Bank’s privacy policy (links will be provided within onboarding and in your account dashboard). The banking services associated with your Account are provided by the Sponsor Bank.

> IMPORTANT—ARBITRATION NOTICE: Except for certain kinds of disputes described in Section 24, you agree that disputes between you and Bank of Century will be resolved by binding, individual arbitration, and you waive your right to a jury trial or to participate in a class action.

 1. Agreement to Terms

By using the Services, you agree to be bound by these Terms, including any additional terms referenced on our Legal page that apply to specific features. If you do not agree, do not use the Services. If you access or use the Services on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms; in that case, “you” and “your” refer to that entity.

 2. Privacy

Please review our Privacy Policy to understand how we collect, use, and disclose information. Your use of the Services is subject to the Privacy Policy.

 3. Changes to Terms or Services

We may update these Terms at any time in our discretion. If we do, we will post the updated Terms on the Site and/or notify you through other reasonable means. Your continued use of the Services after the updated Terms become effective constitutes your acceptance. If you do not agree, discontinue use of the Services (subject to Section 24(f) regarding arbitration changes). Because our Services evolve, we may change or discontinue any part of the Services at any time without notice.

 4. Who May Use the Services

Eligibility. The Services are available only to residents of the United States. You may use the Services only if you can form a binding contract. Any use by persons under 13 is prohibited. We may require users under the age of majority to provide parental/guardian consent. The Services are not available to users previously removed or prohibited by Bank of Century.

 5. Registration and Your Information

To access certain features, you must create an Account and provide information requested by us or a Sponsor Bank. You agree to provide accurate, complete, and up-to-date information and to update it as needed. You are responsible for safeguarding your credentials and for all activity under your Account. Notify us immediately of unauthorized use.

 6. Customer ID and Password Security

You are solely authorized to use your Customer ID and password and must keep them confidential. Protect your devices and data (e.g., OS updates, antivirus, strong passwords). You are responsible for all use under your credentials.

 7. E-Sign Consent

By using the Services, you agree to our E-Sign Consent, which describes how we deliver disclosures electronically and your consent to use electronic signatures and records.

 8. No Professional Advice

Unless expressly stated in a separate written agreement, Bank of Century does not provide legal, financial, accounting, or tax advice. Tools or estimates we provide (e.g., potential tax withholdings) are for informational purposes only and are not a substitute for professional advice. You are solely responsible for your tax compliance.

 9. License to Use the Services

Subject to these Terms, we grant you a non-exclusive, limited, non-transferable, revocable license to use the Services. We reserve all rights not expressly granted.

Use Restriction. You may not use the Services to prepare or manage finances, expenses, or taxes for third parties on a professional or commercial basis for a fee.

 10. Technology Platform; Estimation Tools

Bank of Century is a technology platform. We may offer tools to help estimate self-employment taxes or categorize expenses. Estimates are not guarantees and may not reflect your actual liabilities.

Your Recordkeeping. You are solely responsible for recordkeeping and compliance with applicable law, including IRS requirements.

Service Response. If you report a problem, we typically acknowledge within one (1) business day.

Additional Terms. Certain features may have additional terms accessible in-app or on the Site; those terms are incorporated by reference.

Discrepancies. Report any discrepancies in your Account within thirty (30) days of the activity date via the “Contact Us” methods provided in the App or Site and include requested documentation.

 11. Limitation of Responsibility for Your Data Submissions

You are responsible for the accuracy of information you submit. We do not audit or independently verify your submissions or documents sent to third parties (including tax authorities). You bear all consequences of errors, including additional taxes, penalties, interest, delays, or losses.

 12. Banking Services; Sponsor Bank

Account. Subject to these Terms and the applicable Sponsor Bank terms, you may be granted access to an Account with a Sponsor Bank.

Account Aggregation Services. If you use automated bank account feeds, you authorize Bank of Century and its service providers to access third-party sites to retrieve information on your behalf, and you grant a limited power of attorney to do so solely for providing the Services.

 13. Mobile Check Deposit

If available through the App and Sponsor Bank, you may deposit checks by transmitting images. Additional rules and limits are set forth in the Sponsor Bank terms and any feature-specific terms in-app.

 14. Checkbook / Real-Time Payments (If Offered)

We may integrate third-party payment services (e.g., issuance of paper checks or real-time payments). Your use of those features requires acceptance of the applicable third-party terms and privacy policies, and you authorize us to share information to facilitate those services. Fees may apply. RTP transactions are generally irrevocable; confirm recipient details carefully. Limits, holds, or denials may apply for risk, fraud, or compliance reasons.

 15. “Pockets” or Sub-Balances (If Offered)

We may allow designation of funds into Pockets within your Account. Pockets are not separate accounts; funds remain part of your Account balance. Certain transactions can be designated to/from specific Pockets. If a designated Pocket lacks sufficient funds, a transaction may be declined.

 16. Contractor Onboarding (If Offered)

We may provide tools for users to collect tax or payee information (e.g., W-9 data) from contractors. Contractors’ submissions are shared with the requesting user. Contractors’ use is subject to these Terms and the Privacy Policy.

 17. Tax-Related Features (If Offered)

If you authorize tax payments (e.g., estimated self-employment taxes), payments may be sent by check via third-party providers using funds from your Account. You must maintain sufficient funds. Consider enrolling in EFTPS ([www.eftps.gov](http://www.eftps.gov)) to monitor payments. You are responsible for compliance with all tax obligations and for the accuracy of information you provide.

 18. Fees

We may charge fees for certain Services, subscriptions, or transactions. Fees will be disclosed in the App/Site (e.g., Fee Schedule) and are non-refundable unless stated otherwise. Third parties (e.g., Sponsor Bank, card processors) may also charge fees under their terms.

Paid Services & Subscriptions. By enrolling in paid Services, you authorize us (or our processor) to charge your payment method or your Account balance for fees and taxes, on a recurring basis if you choose a subscription. Subscriptions auto-renew until canceled in App settings. If payment fails, we may suspend or cancel the feature.

Transaction Fees. Certain transactions may incur fees (e.g., card acceptance, payouts). See the applicable schedules in the App or Site.

 19. Authorized Users

You may authorize employees/agents to access the Services on your behalf (“Authorized Users”). You are responsible for their actions. You can modify or revoke access in the App. We may suspend or terminate access for risk or policy violations.

 20. Your Content

You may upload or provide information, data, credentials, images, logos, and other content (“Content”). You grant Bank of Century, Sponsor Bank(s), and service providers a non-exclusive, transferable, sublicensable, worldwide, royalty-free license to use, host, reproduce, adapt, publish, display, and create derivative works of your Content to operate, improve, and promote the Services. You represent and warrant you have all rights necessary and that your Content does not violate others’ rights or laws. You retain ownership of your Content, subject to the license granted herein. Deletion requests can be made through the App or by contacting [[email protected]](mailto:[email protected]) (or the email specified in the Privacy Policy). “Feedback” is excluded and handled under Section 27.

 21. App Terms

License. Subject to these Terms, Bank of Century grants you a limited, non-transferable license to install and use one copy of the App on your device for your business or personal use.

App Store Terms. Your use of the App may be subject to third-party app store terms (e.g., Apple App Store, Google Play). Those platforms are not responsible for support or warranties for our App.

 22. Prohibited Conduct

You agree not to:

* Violate laws or third-party rights; post or transmit unlawful, infringing, deceptive, defamatory, obscene, hateful, or harmful content; or promote illegal activities.
* Access non-public areas, test vulnerabilities, circumvent security, scrape, spider, or use automated means not provided by us.
* Frame, mirror, or misuse our marks or layout without permission; forge headers; send spam; collect others’ data without consent; impersonate others; or interfere with the Services.
* Reverse engineer the App or Services, or use the Services for any unauthorized commercial purpose.

Enforcement. We may monitor, remove content, investigate, and cooperate with law enforcement in our discretion.

 23. Third Parties and Partners

The Services may link to third-party sites or integrate third-party products. We are not responsible for their content, services, or policies. You assume all risk when using third-party offerings, and any disputes are solely between you and that third party. We may receive compensation for referrals; do your own diligence.

 24. Unauthorized Transfers (Electronic Fund Transfers)

If you believe your Account, PIN, or access information has been lost, stolen, or used without authorization, contact [[email protected]](mailto:[email protected]) immediately (or use the in-app support). Prompt notice can limit losses. Deadlines and liability limitations similar to Reg E may apply for consumer accounts; details are provided in Sponsor Bank terms and your Account disclosures.

 25. Relationship of the Parties

You are an independent user of the Services; these Terms do not create a partnership, joint venture, employment, or agency relationship.

 26. Modification; Termination

We may suspend or terminate your access to any or all Services at any time with or without notice. You may cancel your Account at any time via the App or by emailing [[email protected]](mailto:[email protected]). Upon termination, sections intended to survive (including 2, 6–9, 11–12, 14–22, 24–28) will remain in effect.

 27. Warranty Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE. WE DO NOT WARRANT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DATA WILL BE ACCURATE OR RELIABLE.

 28. Indemnity

You will indemnify, defend, and hold harmless Bank of Century and its affiliates, officers, directors, employees, and agents from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from (i) your use of the Services; (ii) your Content; or (iii) your violation of these Terms or applicable law.

 29. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER BANK OF Century NOR ANY PARTY INVOLVED IN PROVIDING THE SERVICES WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, SAVINGS, OPPORTUNITY, DATA, OR GOODWILL, OR COST OF SUBSTITUTE SERVICES, IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.

IN NO EVENT WILL BANK OF Century’S TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO BANK OF Century FOR THE SERVICES IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR (B) $100 IF YOU HAVE NO SUCH PAYMENT OBLIGATIONS.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN EXCLUSIONS OR LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY.

 30. Governing Law; Venue

These Terms are governed by the Federal Arbitration Act, federal arbitration law, and the laws of the State of California, without regard to conflict-of-laws rules. Except as otherwise stated in Section 31 (Dispute Resolution), the exclusive jurisdiction and venue for disputes not subject to arbitration are the state and federal courts located in the Northern District of California, and both parties consent to jurisdiction there.

 31. Dispute Resolution (Arbitration Agreement)

(a) Mandatory Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services (a “Dispute”) will be resolved by binding, individual arbitration, not in court and not in a class action or representative proceeding. The U.S. Federal Arbitration Act governs this section.

(b) Exceptions & Opt-Out. You may bring qualifying claims in small claims court; either party may seek injunctive relief for IP rights. You may opt out of arbitration within 30 days of first accepting these Terms by emailing [[email protected]](mailto:[email protected]) with your name, address, and a clear statement that you opt out of arbitration.

(c) Rules; Process. Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect ([www.adr.org](http://www.adr.org)), as modified by this section. If your claim is $10,000 or less, you may choose documents-only, telephonic/video, or in-person hearing. Hearings will occur in your county of residence unless otherwise agreed. The arbitrator has exclusive authority over arbitrability and scope.

(d) Costs. Fees will be allocated per the AAA Rules. If your claim is under $10,000, we will pay filing, administration, and arbitrator fees unless the arbitrator determines the claim is frivolous. If we prevail, we will not seek our attorneys’ fees and costs. If you prevail, you may be entitled to fees as permitted by law.

(e) Class Action Waiver. YOU AND BANK OF Century MAY BRING CLAIMS ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, NOT AS A CLASS MEMBER OR REPRESENTATIVE. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OR PRESIDE OVER A CLASS OR REPRESENTATIVE PROCEEDING. IF THIS WAIVER IS UNENFORCEABLE AS TO A PARTICULAR CLAIM, THIS ENTIRE ARBITRATION SECTION DOES NOT APPLY TO THAT CLAIM.

(f) Changes. If we change this Section after you first accepted these Terms, you may reject the change by written notice to [[email protected]](mailto:[email protected]) within 30 days of the effective date; if you do, the prior version applies to you.

 32. Severability

Except as provided in 31(e), if any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

 33. Communications & Notices

By providing your phone number(s) and email, you consent to receive communications (including autodialed or prerecorded calls/texts where permitted) related to your Account and the Services. You can opt out of marketing texts/emails as described in those messages. Notices may be delivered via email or posting in the Services. For email notices, the date of transmission is deemed the date of receipt.

 34. Entire Agreement; Assignment; Waiver

These Terms constitute the entire agreement between you and Bank of Century regarding the Services and supersede prior agreements. You may not assign these Terms without our prior written consent; we may assign without restriction. Any failure to enforce a provision is not a waiver.

 35. Feedback

We welcome feedback, comments, and suggestions (“Feedback”). You grant Bank of Century a non-exclusive, perpetual, irrevocable, worldwide, fully-paid, royalty-free, transferable, sublicensable license to use, copy, modify, create derivative works of, and otherwise exploit Feedback for any purpose.
